Agreement to Terms
By accessing or using Spiralize's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Description of Services
Spiralize provides automation consulting, development, and implementation services, including but not limited to:
- •Process automation and workflow optimization
- •Software integration and API development
- •Custom automation system development
- •Consulting and strategy services
- •Training and documentation
Client Responsibilities
As a client, you agree to:
- •Provide accurate and complete information about your requirements
- •Grant necessary access to systems, accounts, and data as needed
- •Participate actively in the project process
- •Provide timely feedback and approvals
- •Comply with all applicable laws and regulations
- •Maintain security of your accounts and credentials
Payment Terms
Payment terms vary by project type and will be outlined in your specific project agreement. Generally:
- •Deposit: 50% deposit required to begin work
- •Progress Payments: May be required for larger projects
- •Final Payment: Due upon project completion and delivery
- •Monthly Services: Billed monthly in advance
Late payments may incur a 1.5% monthly fee. Services may be suspended for non-payment.
Project Timeline and Delivery
Project timelines are estimates based on information available at project start. Factors that may affect timelines include:
- •Timeliness of client feedback and approvals
- •Third-party service availability and changes
- •Scope changes requested by client
- •Unforeseen technical challenges
Intellectual Property
Client Ownership: Upon final payment, you own all custom deliverables created specifically for your project.
Our Rights: We retain the right to use general knowledge, skills, and expertise gained during our work. We may also use reusable components, templates, or code that isn't specific to your project.
Third-Party Tools: You are responsible for licensing any third-party software or services used in your automation systems.
Confidentiality
We agree to maintain the confidentiality of your proprietary information and will not disclose it to third parties except as necessary to provide services or as required by law. This obligation survives termination of our relationship.
Limitation of Liability
To the fullest extent permitted by law:
- •Our liability is limited to the amount you paid for the specific services in question
- •We are not liable for indirect, incidental, special, or consequential damages
- •We are not responsible for third-party service interruptions or failures
- •We make no warranties beyond those explicitly stated in your project agreement
Client Data and Backups
You are responsible for:
- •Maintaining backups of all your data
- •Verifying that automated systems are functioning correctly
- •Testing any automations in production environments
- •Complying with data protection laws applicable to your information
While we strive for error-free implementation, we cannot guarantee that automated systems will never fail. You should maintain appropriate manual processes as backup.
Scope Changes
Changes to project scope after agreement may require adjustment of timeline and pricing. Significant changes may require a new or amended project agreement. We will always provide written estimates for any scope changes before proceeding.
Termination
Either party may terminate the relationship with written notice:
- •By You: You will be responsible for payment for all work completed and expenses incurred up to termination
- •By Us: We may terminate if you violate these terms or if cooperation makes project completion impossible
Upon termination, we will deliver all completed work for which payment has been received and return your materials and data.
Support and Maintenance
Support and maintenance services are available as separately purchased services:
- •Bug Fixes: Critical issues will be addressed promptly during the warranty period (typically 30 days after delivery)
- •Updates: Third-party service changes may require updates, which are available at our standard hourly rate or under a maintenance agreement
- •Training: Additional training beyond project delivery is available at standard rates
Indemnification
You agree to indemnify and hold harmless Spiralize from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any rights of another.
Dispute Resolution
Any disputes will be resolved through good faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Governing Law
These terms are governed by the laws of the state where Spiralize is registered, without regard to conflict of law principles.
Changes to Terms
We may modify these terms at any time. Continued use of services after changes constitutes acceptance of the new terms.
